Client Intellectual Property

Unless otherwise agreed in a separate written agreement, upon full payment for services rendered, clients retain ownership of custom software and content specifically created for them. We retain the right to use general methodologies, processes, and know-how developed during the project for future work.

Payment Terms

• All fees and charges are specified in project proposals or service agreements
• Payments are due as per the agreed payment schedule
• Late payments may incur additional charges and service suspension
• All fees are non-refundable unless otherwise specified in writing
• Prices are subject to change with prior notice
• Clients are responsible for any applicable taxes

Service Level and Support

We strive to provide high-quality services, but we make no guarantees regarding:

• Uninterrupted or error-free service operation
• Specific results or outcomes from using our services
• Compatibility with all hardware and software configurations

Support and maintenance terms are outlined in individual service agreements.

Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the business relationship. This obligation continues even after termination of services. We implement reasonable security measures to protect confidential information from unauthorized disclosure.

Warranties and Disclaimers

Limited Warranty: We warrant that our services will be performed in a professional and workmanlike manner.

Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EVYAPARPAY FINANCIAL TECHNOLOGIES PVT. LTD., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Evyaparpay Financial Technologies Pvt. Ltd. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.

Termination

We reserve the right to terminate or suspend your access to our services:

• For violation of these Terms
• For non-payment of fees
• For fraudulent or illegal activities
• At our discretion with or without cause

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, and the seat of arbitration shall be in India.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Entire Agreement

These Terms, together with any service agreements and other documents incorporated by reference, constitute the entire agreement between you and Evyaparpay Financial Technologies Pvt. Ltd. regarding our services and supersede all prior agreements and understandings.
